وقد بدأ الكتاب بالتعريف بأنواع الشركات التجارية، ثم تناول المسؤولية الجنائيّة للشركات التجارية، وبين أركانها وشروطها، ثم تناول جرائم الشركات التجارية وعقوباتها في ثلاث مراحل مهمّة من مراحل حياة الشركة التجارية، وهي مرحلة التأسيس، ومرحلة ممارسة النشاط التجاري، ومرحلة إنقضاء الشركة التجاريّة.
وقد إهتمّ الكتاب بالجانب التطبيقي العلمي فأورد بعض القضايا التطبيقيّة الصّادرة بأحكام جزائيّة من المحاكم المختصة، وتم مناقشة هذه القضايا وتحليلها، ثم جاءت خاتمة الكتاب لتشتمل على كثير من النتائج والتوصيات التي تفيد المختصين والباحثين والمهتمين من قضاة وقانونيين ومحامين ورجال وسيدات أعمال ومساهمين ومستثمرين وكل المشتغلين والمهتمين بالمجالين الجنائي والتجاري.
