الأساس أن يرتكز إقراض مال لشخص ما على الثقة بهذا الشخص وقدرته ",هو" على الإيفاء... والمبدأ أن يفي المديون دينه من ماله الخاص وعليه أن يتحمل وحده وزر هذا الدين... أما الاستثناء فهو إقراض المال لشخص ما استناداً إلى ثقة الدائن بشخص آخر قادر على الإيفاء وأن يفي المديون دينه من أموال غيره وأن ينفذ الدائن على أموال عائدة لغير مدينه.
وتتعدد صور هذا الاستثناء ولعل أبرزها، الكفالة. والكفالة عقد خطي رضائي يتعهد بموجبه الكفيل بإيفاء الدين الواقع بذمة المدين الأصلي وأهم شروط صحتها هو رضى الكفيل وقبول الدائن. ويكون التزام الكفيل في حدود شروط الكفالة، أما تفسيرها فيكون بالصورة الضيقة لما للكفالة من مخاطر على ذمة الكفيل المالية ولهذا، فإن الشك في بنودها يفسر لمصلحة الكفيل.
وللكفيل حق الرجوع على المكفول وهكذا، يتم الرجوع إلى المبدأ بأن الدين يتم إيفاؤه من أموال المدين الأصلي نفسه. أما الدائن فله حق مداعاة الكفيل و/أو المكفول أمام المحاكم العادية استيفاء لقيمة الدين.
والكفالة قد تكون مدنية أو تجارية باختلاف نوع الدين أو صفة أطراف الكفالة... تنقضي الكفالة أما بالرجوع عنها وهذا يتطلب توافق إرادتي الكفيل والدائن حول هذا الرجوع وإما بسقوطها عن طريق تحريرها أو بسقوط موجبات المكفول، وكذلك فإنها تنقضي بانتهاء أجلها.
