تعد ظاهرة تعرض الشركات التجارية لصعوبات أثناء مسيرتها، سمة طبيعية من سمات الاقتصاد، كما أن الشركات الضعيفة والقوية يمكن أن تواجه العديد من الصعوبات، التي تؤدي بها الى الدخول في مرحلة التعثر ولما كان الأمر كذلك.
ويترتب على دخول الشركات مرحلة التعثر اتخاذ كافة الوسائل المناسبة، لإقالة تلك الشركات من عثرتها، ومساعدتها للخروج من هذه الحالة.
وبناء على ذلك، فإن هذه الوسائل تنقسم الى وسائل إجرائية، وإلى وسائل موضوعية.
ينصب موضوع هذا المؤلف على تأصيل عملية إعادة هيكلة الشركات المساهمة العامة المتعثرة، والإجابة عن عدد من التساؤلات، التي تثار بهذا الشأن، ومن أبرزها: ما المقصود بإعادة الهيكلة؟ ما هي أسبابها؟ ما هي الوسائل الإجرائية والموضوعية لإعادة الهيكلة؟ وتكمن أهمية الإجابة عن هذه التساؤلات في التعرف على مدى إمكانية أن تتم عملية إعادة هيكلة الشركات المساهمة العامة المتعثرة ضمن إطار قانوني مكين، ومدى إمكانية إدراج نصوص قانونية، تنظم هذه العملة في قانون الشركات الأردني.
بناء على ما تقدم، لإيفاء هذا الموضوع حقه، فإنه يقتضى تقسيمه الى ثلاثة فصول، بحيث تخصص الفصل الأول للحديث عن ماهية إعادة الهيكلة وأسبابها، أما الفصل الثاني فتعرض للوسائل الإجرائية لإعادة الهيكلة.
أما الفصل الثالث فخصص للحديث عن الوسائل الموضوعية لإعادة الهيكلة.
