تعد حوكمة الشركات من أبرز وأهم الموضوعات في المؤسسات والمنظمات، وقد تعاظم الإهتمام بهذا الموضوع في العديد من الإقتصادات المتقدمة والناشئة خلال السنوات الماضية، وخاصة في حالة حدوث أزمات مالية؛ والتي يفجرها الفساد المالي وسوء الإدارة وإفتقار الرقابة والخبرة والمهارة ونقص الشفافية، حيث تؤدي هذه الأزمات إلى تكبد كثير من المساهمين خسائر مادية فادحة؛ مما يدفع العديد من المستثمرين للبحث عن الشركات التي تطبق مفهوم حوكمة الشركات، ونتيجة لكل ذلك زاد الإهتمام بمفهوم حوكمة الشركات، وأصبحت من الركائز الأساسية التي يجب ان تقوم عليها القطاعات الإقتصادية.
وفي هذا السياق، نجد أن هيئة سوق المال بالمملكة العربية السعودية قد أصدرت مشروع لائحة حوكمة الشركات بتاريخ 1/ 7/ 2006م، ثم صدر قرار مجلس هيئة السوق المالية بتاريخ 12/ 11/ 2006 بإنفاذ اللائحة بشكلها النهائي.
وجاء إصدار هذه اللائحة إيماناً منها بواجبها ورسالتها نحو تطوير السوق المالية في ضوء تعاظم الإهتمام الدولي بمبادئ حوكمة الشركات، وإعتبارها أهم الآليات التي ترفع كفاءته بهدف زيادة جاذبية الأوراق المالية المتداولة فيها.
وقد روعي في إعداد هذه اللائحة المبادئ المقررة من المنظمات الدولية، والإستفادة من تجارب الدول في حوكمة الشركات، كما روعي الملاحظات والإقتراحات العديدة التي تلقتها الهيئة بعد نشر المشروع الأولي على موقعها.
وفي بحثنا هذا سوف نقوم بدراسة التنظيم القانوني لحوكمة الشركات المساهمة في المملكة العربية السعودية.
