القانون التجاري هو مجموعة القواعد القانونية التي تنطبق على فئة معينة من المعاملات هي الأعمال التجارية، وعلى طائفة معينة من الأشخاص يحترفون القيام بالأعمال التجارية هم التجار. ويستعين التاجر في عمله ببعض الأموال مادية ومعنوية يتكون من مجموعها ما يسمى بالمؤسسة التجارية. ولا يقتصر احتراف الأعمال التجارية على الأفراد فسحب، بل تحترفها الشركات التجارية كذلك، ومن بين العناصر المعنية التي تدخل في تكوين المؤسسة التجارية حقوق الملكية الصناعية، وهي الحقوق التي ترد على براءات الاختراع والرسوم والنماذج الصناعية والعلامات التجارية والأسماء التجارية.
ويبرم التاجر لحاجات تجارية كثيراً من العقود التجارية كعقد الوكالة بالعمولة والسمسرة والرهن والنقل، كما يلجأ إلى البنوك ليحصل منها على ما يحتاجه من ائتمان ونقود لمزاولة أعماله التجارية. ويستعين التاجر بالأوراق التجارية كأداة ائتمان وأداة وفاء تقوم مقام النقود في المعاملات. ومتى عجز التاجر عن الوفاء بديونه التجارية في مواعيد استحقاقها شهد إفلاسته وصفيت أمواله فينتهي بذلك نشاطه التجاري.
ولذلك سيتم تقسيم هذه الدراسة التي جاءت حول أساسيات القانون التجاري على الوجه الآتي: القسم الأول: في الأعمال التجارية والتجار والمؤسسة التجارية، القسم الثاني: في الشركات التجارية، القسم الثاني: في الشركات التجارية، القسم الثالث في الملكية الصناعية، القسم الرابع في العقود التجارية وعمليات البنوك، القسم الخامس: في الأوراق التجارية، القسم السادس في الإفلاس.
