يشكل القانون التجاري الاطار النظامي الذي يحكم البيئة التجارية بصورة مستقلة متميزة عن تلك البيئة التي يحكمها القانون المدني. فهو الوعاء القانوني الذي يتضمن مجموعة القواعد القانونية (مكتوبة وعرفية) التي تطبق على الاعمال التجارية وعلى محترفي المهن التجارية. وهذا يظهر ضرورة وأهمية التفرقة بين العمل المدني والعمل التجاري والتمييز بين التاجر وغير التاجر.
وبعد التطور الواضح الذي لحق بالقانون التجاري على صعيد وعائه وتعدد موضوعاته، وعلى مستوى تكثف مسائله ونقاطه وخصوصية مفاهيم ما يتفرع عن كل موضوع من اغصان ومسائل فنية تتطلب كلها تخصصاً وتعمقاً. يتأكد أكثر فأكثر ان دراسة اهم موضوعات هذا القانون في سنوات الاجازة في الحقوق أصبحت تنحصر بالموضوعات الأساسية التي قام عليها هذا القانون وظهرت فيه صورته التقليدية، أي دراسة المبادئ والقواعد الأساسية التي يتكون منها كل من هذه الموضوعات. لذلك تتوزع - وحسب المقررات الجامعية الحالية - دراسة موضوعات مادة القانون التجاري على سنتين دراسيتين تسمحان بحد وسطي معقول من الاحاطة بأهم مبادئ وأوصاف وتحديدات هذه المادة.
واستناداً لذلك فإن دراسة مادة القانون التجاري - في السنة الثالثة ستركز على أبرز موضوعات هذه المادة وذلك في عدة أبواب كالتالي: الباب الأول: الاعمال التجارية، الباب الثاني: التجار، الباب الثالث: الشركات التجارية، الباب الرابع: المؤسسة التجارية، الباب الخامس: الأسناد التجارية (مقدمة عامة).
