يدرس هذا الكتاب حالات تصفية الشركات المساهمة العامة التي نص عليها المشرع الأردني ونظم على ضوئها الأحكام المتعلقة بالتصفية. والتصفية كما عرفت هي: مجموع الإجرايات الضرورية لإنها عمليات الشركة ودفع ما عليها من ديون وتحصيل ما لها من ذمم وتحويل موجوداتها إلى نقود لإمكان توزيعها على الشركاء بواسطة القسمة.
وفي ضوء ذلك يتعرض الكتاب إلى حالات تصفية الشركات المساهمة العامة، من خلال حالات التصفية "الاختيارية" للشركات المساهمة العامة، إضافة إلى حالات التصفية "الإجبارية" للشركات المساهمة وإجراءات التصفية، وتعيين المصفى وعزله، وحقوقه وإلتزاماته، ومركزه القانوني مع الإضاءة على النظريات التي قيلت في المركز القانوني للمصفي تجاه الشركة والمساهمين، وكذلك مسؤولية المصفي عن العقود التي يبرمها لغايات التصفية مثل عقود العمل وعقود الإيجار، وتجاه الدائنين، وتجاه أصحاب اسناد القرض. واخيراً النتائج التي تترتب على اكتساب الشخصية المعنوية للشركة أثناء التصفية مثل: اسم الشركة وموطنها وجنسيتها والذمة المالية المترتبة عليها...
