مع بداية هذا القرن وبلوغ الثورة الصناعية والمعلوماتية ذروتها- خاصة في العقد الأخير منه- وما ترتب عليه من بعد المسافة بين الإنتاج الإقتصادي والاتجار في القيم المنقولة، بدأت سوق الأوراق المالية تتمتع بقدر من الإستقلال بحيث تحولت إلى مؤسسة او مشروع رأسمالي قد لا يترجم دائما أداء أو المركز الاقتصادي للجهات التى أصدرت الأوراق المالية. وإنما اصبحت للسوق أواتها الخاصة والتى يعتمد في مجملها على التحليلات والتبنؤات والتوقعات وربما الشائعات.
ومن هنا بدأت أطياف الخشية من تدخل غير مشروع في سوق الأوراق المالية يتحول إلى خوف حقيقي، وهذا الخوف تدعم بوقائع محددة. كان لها تأثير كبير- ليس فقط على الجوانب الاقتصادية- وإنما ايضا على الجوانب السياسية.
وقد فطن المشرعون لهذه التصرفات التى تخرج سوق المال عن سيره الطبيعي، وتؤثر سلبا على الاقتصاد الوطني، فاتجهت اعينهم إلى القانون الجنائي ليمد حمايته لسوق المال من هذه الأفعال.
