نظراً لأن عقد الإمتياز التجاري هو بمثابة لؤلؤة التاج في عقود الشبكة، حيث يجب أغلبها، ويستوعب مزاياها، ويستغرق أحكامها، فقد وقع اختيارنا عليه لنفصل أحكامه في هذه الدراسة، بما ييسر الوقوف على مزاياه ومخاطره بالنسبة للدول النامية، ومن بينها مصر بطبيعة الحال، فتعمل على تعظيم المزايا وتجنب المخاطر أو- على الأقل - تقليلها إلى أقصى قدر ممكن. وإذا كان بعض الفقه المصري قد سبقنا إلى دراسة هذا العقد وبحث أحكامه، وقدم دراسات جادة ومجهودات مشكورة في هذا السبيل، إلا أنها قد تناولت هذا العقد من وجهة نظر فقه القانون التجاري، ولم يقترب أي منها من مسألة القانون الواجب التطبيق على هذا العقد، على الرغم من أهميتها القصوى وحيويتها البالغة، لا سيما بالنسبة لمتلقي الإمتياز الذين يتواجد أكثرهم في البلدان النامية.
ولعل ذلك ينبئ بأهمية الدراسة، ويكشف عن الدافع إلى اختيار موضوعها، وسوف نقتصر في دراستنا لعقد الإمتياز التجاري على العقد المبرم بين مانح الإمتياز ومتلقيه، ولئن كان قد تم عنونة الدراسة بعقد الإمتياز التجاري في القانون الدولي الخاص، مما قد يوحي بأن بحثها سيشمل مسألتي المحكمة المختصة والقانون واجب التطبيق، إلا أن الدراسة لن تتعرض لمسألة الإختصاص القضائي، وعلى ذلك ستكون الدراسة على الوجه التالي: (مبحث تمهيدي: ماهية عقد الإمتياز التجاري، الفصل الأول: إلتزامات الطرفين في عقد امتياز التجاري، الفصل الثاني: القانون الواجب التطبيق على عقد الإمتياز التجاري).
