يمثل الاستثمار الأجنبي أحد أهم العناصر التي تقوم عليها التنمية الاقتصادية والاجتماعية في كافة البلدان- لاسيما البلدان النامية - لاعتبارات نقص رؤوس الأموال لدى هذه الدول، وإمكانية تطوير فرص الإنتاج للسلع والخدمات، وتأسيس أو تطوير البنى التحتية وتحديثها، ونقل الخبرات الفنية والتكنولوجية الحديثة، وخلق فرص عمل جديدة، والانفتاح على الأسواق الخارجية. وبقدر نجاح الدولة في هذا الشأن، فسوف تحقق الرفاهية لكافة مواطنيها على المدى الطويل. لذا فإن البلدان النامية حرصت على تشريع قوانين لتشجيع المستثمرين الأجانب وضمان حقوقهم من جهة ولحماية وضمان حقوقها ومصالحها من جهة أخرى.
ولعل أبرز الأمور التي تحفز الاستثمارات الأجنبية على الانسياب إلى الدولة هو وجود ضمانات قانونية لحمايتها من المخاطر غير التجارية التي قد تتعرض لها هذه الاستثمارات في الدولة المضيفة للاستثمار، وتتمثل هذه المخاطر بالإجراءات التي تتخذها الدولة المضيفة للاستثمار والتي تتصل بالأوضاع السياسية والاقتصادية، كنزع الملكية والمصادرة والتأميم، ولاشك في إن هذه الإجراءات كافية لخلق المخاوف لدى المستثمر الأجنبي. وقد تضمنت أغلب القوانين الخاصة بالاستثمار ضمانات بحظر تأميم الشركات والمنشآت أو مصادرتها وغير ذلك من الإجراءات، كما وأجازت هذه التشريعات للشركات والمنشآت الحق في تملك الأراضي والعقارات اللازمة لمباشرة نشاطها والتوسع فيه، أياً كانت جنسية هذه الشركات.
