تكمن أهمية هذه الدراسة في أنها تحاول تشريح الوضع فيما يتعلق بإثبات العقود في مجال التجارة الإلكترونية ومجال تنفيذها، كما تحاول إيجاد قواعد تصلح للتطبيق على هذا النوع من العقود خاصة تلك التي تتم بين تاجر ومستهلك أو بين مستهلك ومستهلك خاصة اعتبارها عقودًا دولية أو اعتبارها عقودًا محلية، حيث أن الانطلاق من هذه النقطة يؤدي إلى تغير كثير من الضوابط التي تحكم هذا النوع من العقود.
كما تتناول هذه الدراسة حماية المستهلك حيث إنه بخلاف العقود التقليدية التي تبرم عادة بين أشخاص يزاولون أحد الأنشطة التجارية أو الاقتصادية التي تهدف إلى الربح، وتحكمها بعض الأعراف المستقرة والقواعد الثابتة فإن العقود الإلكترونية عادة يكون أحد طرفيها مستهلكًا يريد إشباع احتياجاته الشخصية ولا يهدف إلى الربح أو مزاولة النشاط التجاري، وليس لديه إلمام كاف بالقوانين وقواعد الإثبات، ولذلك سوف أقوم باتعراض أحكام التعاقد عن بعد في كل من تشريع الاتحاد الأوروبي والقانون الفرنسي، وبيان أهمية وجود قوانين في العالم العربي ومصر تواكب التطور الذي حدث في هذا المجال.
كما يهدف البحث إلى بيان القواعد التي تحكم إثبات العقود التجارية المبرمة والمنفذة من خلال الوسائل الحديثة في مختلف مراحل العقد، كذلك يتناول البحث عقد البيع بالمزاد العلني عن طريق شبكة الإنترنت، لقد حاولت من خلال هذه الدراسة تحليل العقد الإلكتروني من جميع جوانبه مستهدية في ذلك بالتوجيهات الأوروبية بشأن التجارة الإلكترونية والبيع عن بعد والقرارت المتصلة بهما كنصوص عامة والتشريع الفرنسي الجديد بِشأن الثقة في الاقتصاد الرقمي كتطبيق للتوجيهات والقرارات السابقة، وكذلك معتمدة على أهم ما نشر من أحكام ترسي مبادئ قانونية جديدة تلائم هذا النوع من العقود، وذلك للاستفادة من تجارب تلك الدول في التعامل مع المشكلات التي افرزها تطبيق هذا النوع من العقود.
