هذا المؤلف يشتمل على ثلاثة كتب تتضمن ما يأتي : المُقارنـة بالشرح التفصيلي بين قانـون التجارة الجديد رقم 17 لسنة 1999 وبين قانون التجارة الملغي وقانون جنيف الموحد والقانون المدني وقانون الطيران وقانون الصلح الواقي من الإفلاس وذلك فيما يلي : الكتاب الأول : المُقارنة بين نصوص قانون التجارة الجديد ونصوص التشريعات السابقة عليه وذلك بشرح كل مادة على حده وتحديد نقاط الاتفاق والاختلاف بينها وبين النصوص المُلغاة وتحديد مصادرها داخليا ودولياً والتعليقات والملاحظات القانونية والقضائية على كل مادة ومشروع القانون ومذكرته الإيضاحية فيما يلي: الباب الأول: مُقارنة الأحكام عامة لقانون التجارة وتتضمن الأعمال التجارية بأنواعها والتاجر والدفاتر التجارية والسجل التجاري والمتجر وسوق الأوراق المالية. الباب الثاني: مُقارنة الالتزامات والعقود التجارية ومنها نقل التكنولوجيا والبيع والرهن التجاري والإيداع في المستودعات العامة والوكالة التجارية والسمسرة والنقل. الباب الثالث: مُقارنة عمليات البنوك وهي وديعة النقود ووديعة الصكوك وتأجير الخزائن ورهن الأوراق المالية والنقل المصرفي والاعتماد العادي والاعتماد المستندي والخصم وخطاب الضمان والحساب الجاري . الباب الرابع: مُقارنة الأوراق التجارية وهي الكمبيالة من حيث الإصدار والتظهير ومقابل الوفاء والضمان الاحتياطي والسند لأمر والشيك والأحكام المشتركة بينهما. الباب الخامس: مُقارنة الإفلاس بشأن شهر الإفلاس وأشخاص التفليسة وآثار وإدارة التفليسة وانتهائها وإفلاس الشركات ورد الاعتبار وجرائم الإفلاس. الكتاب الثاني : المُقارنة بين المواعيد الإجرائية في قانون التجارة الجديد والتشريعات السابقة عليه وذلك بشرح هذه المواعيد وأنواعها وكيفية احتسابها وشخص القائم بالإجراء على ضوء قانون المرافعات والجزاءات الإجرائية المترتبة على مخالفة تلك المواعيد والمُقارنة بينها وبين مواعيد قانون التجارة الملغي . الكتاب الثالث : المُقارنة بين مواد قانون التجارة وما يقابلها في التشريعات السابقة
