يعتبر القانون التجاري بحق أكثر القوانين تأثراً بالظواهر السياسية والإقتصادية والإجتماعية وأشدها إحساساً بالحياة العملية وأقربها إنطباقاً على عواملها ومقتضياتها وهو في الأصل يسبق غيره من القوانين في التعديل والتبديل كلما اقتضى التطور الإجتماعي ذلك.
يتناول هذا الكتاب قانون التجارة الذي كان جاري العمل به في الجمهورية العربية السورية، والصادر بالمرسوم التشريعي رقم 149 تاريخ 22 حزيران من عام 1949م. معدلاً حتى 22 حزيران من عام 1979.
أيضاً، يتناول الكتاب قانون الشركات والمحلات التجارية المؤسسة خارج أراضي الجمهورية العربية السورية والتي لها فرع أو وكالة في سورية الصادر بالمرسوم التشريعي رقم 101. تاريخ آذار 1952 مع تعديلاته.
إلى ذلك، يتضمن الكتاب مرسوم تنظيم مؤسسات التجارة الخارجية، بالإضافة إلى مصطلحات القانون التجاري (فرنسي –عربي). وبناءً على ما تقدم، يغطي مشروع قانون التجارة الآنف الذكر: 1-مجالات التجارة على وجه عام والتجار والمؤسسات التجارية في سورية والخارج، 2- الشركات التجارية: شركات التضامن، الشركات المغفلة، الشركات المحدودة المسؤولية... 3- العقود التجارية بوجه عام وبعض العقود التجارية بوجه خاص، 4- الإسناد التجارية وغيرها من الإسنا القابلة للتداول، 5- الصلح الواقي الإفلاس، ومواضيع أخرى...
