تعدّ الأوراق المالية من أبرز أدوات الاستثمار في وقتنا الحاضر؛ وذلك لما توفره من مزايا للمستثمر لا تتوافر في أدوات الاستثمار الأخرى، كما أنها تُعدّ عصب الحياة لأسواق الأوراق المالية، نظرًا لكونها السلعة الوحيدة المتداولة فيها، حيث تشكل أسواق الأوراق المالية آلية هامة من آليات تجميع وتوجيه الموارد المالية، وتوظيفها في المشروعات الكبيرة من خلال اقتناء الأفراد والشركات والمؤسسات لما يصدر من هذه الأسواق من أوراق مالية. وتتنوع الأوراق المالية في هذا الوقت، نظرًا لما تتمتع به الأسواق المالية من مرونة كبيرة تتيح تنويع أدوات الاستثمار فيها ومن بينها الأوراق المالية، ومن أمثلة هذه الأخيرة الأسهم والسندات وحصص التأسيس ووثائق الاستثمار وغيرها، ومما لا شك فيه أن هذا التنويع في الأوراق المالية يمثل عنصر جذب للفوائض النقدية لدى المدخرين، والذي بدوره يؤدي إلى إيجاد نوع من المنافسة بين الجهات المصدرة لها، وهو ما يشبع رغبات المستثمرين في النهاية. ومن أهم خصائص الأوراق المالية قابليتها للتداول، فالورقة المالية تفقد ماهيتها عند تخلف صفة التداول، فضلاً عن أن قابلية الورقة المالية للتداول تعد الدافع الرئيسي للمشاركة في الشركات المساهمة، بل إن التداول هو المعيار الأكثر قبولاً للتفرقة بين شركات الأشخاص وشركات الأموال. وكلمة التداول من الجذر (دَوَل)، وتعني (العَقَبةُ في المالِ والحربِ) و(تداوَلْنا الأمرَ أخذناه بالدُّوَل... أي مُداولة عن الأمر... ودالتْ الأيامُ أي دارتْ، واللهُ يداولها بين الناسِ)، وتداولت الأيدي الشيءَ أي أخذته هذه مرةً وهذه مرةً أما قانونًا فيقصد بالتداول انتقال الأموال والحقوق الواردة على الشيء من يد لأخرى بالبيع أو الشراء، أو بكافة التصرفات القانونية الأخرى كالهبة والوصية والإرث والوقف والحوالة والرهن والحجز والتجميد وأي تصرف آخر يجيزه القانون
