يدور موضوع الكتاب حول نظام الإفلاس والذي هو "حالة قانونية يوجد فيها التاجر المنقطع عن دفع ديونه التجارية في مواعيد استحقاقها. وقد حددت المادة 489 من قانون التجارة الشروط الموضوعية لهذه الحالة، مفندة إياها بوجوب كون المدين تاجراًـ منقطعاُ عن دفع ديونه التجارية(...) وعلى هذا اعتبر الإفلاس نظاماً اجتماعياً لتصفية أموال المدين التاجر الذي ينقطع عن دفع ديونه التجارية في مواعيد استحقاقها، والذي يتبين أن مركزه المالي والتجاري قد أصبح منهاراً بشكل فعلي، وأضحى في وضع ميؤوس منه.
تأتي أهمية البحث في نظام الإفلاس من أهداف هذا النظام الذي يتم به تحقيق حماية الإئتمان والمساواة بين دائني التاجر، ولكن المشرع ونظراً لقساوة هذا النظام الذي يرفع يد المفلس عن إرادة أمواله، راعى أيضاُ جانب التاجر الذي يخل بواجب الوفاء بسبب أزمة مالية يمرَ بها أو بسبب منافسة حادة، فأفنى بإمكانية منحه الصلح الواقي من الإفلاس.
فكيف تصفى الأموال ويحصل الدائنون على حقوقهم، والذي يفرض عليهم الاتحاد ونظراً لتشعب الأمور، المرافقة لنظام الإفلاس جاء هذا الكتاب ليضيء على جوانب هامة في هذا النظام التي اتكأ مؤلفه على أحكام وقرارات فرنسية، وبفقه فرنسي مشابه للقواعد التي كرسها قانون التجارة اللبناني والذي لا تزال نصوصه مرعية الإجراء ومتجانسة مع الفقه والإجتهاد الفرنسيين القديمين.
