كتاب الرئيس السيوفي وموضوعه "النظرية العامة للموجبات والعقود" هو في الحقوق للأكاديمية اللبنانية. وقد عني ولده الأستاذ مرسال السيوفي بعد أن استأثرت المنية بوالده بجمعها وتبويبها وتعزيز بعض موادها بأحدث الاجتهادات اللبنانية والأجنبية، وإذا ما تصفحنا بعض مواد هذا الكتاب بأن لنا سعة إطلاع المؤلف وتضعه من العلوم القانونية وتعمقه في استقصاء روح الشرائع والنظم الاجتماعية. فبعد أن تبسط في مقدمة محاضراته بشرح نظرية الموجبات وتبيان أهميتها وتفصيل تطورها التاريخي عبر الأجيال ألمع إلى تغير الفكرة القضائية بتأثير الحاجات الاقتصادية والاجتماعية وإلى تحول النزعة الفردية المطلقة إلى نزعة اجتماعية أفضت إلى تدخل المشترع في مختلف نواحي النشاط الإنساني ولا سيما في باب الملكية وفي مبدأ حرية التعاقد وبنوع خاص في الشؤون الاقتصادية بقصد حماية الاقتصاد الوطني والحد من المزاحمة الفردية ومن تكتل الشركات الكبرى ومن استثمار اليد العاملة وبغية صيانة الطبقات الكادحة من براثن الفاقة والعوز.
وبعد أن ألمع الرئيس السيوفي إلى مصادر الموجبات وأجرى مقارنة في هذا الباب بين القوانين الرومانية والفرنسية واللبنانية تطرق إلى نظرية العقود فتبسط في تعريف العقد وفي مبدأ حرية التعاقد وخلص إلى تقسيم العقود وإلى شروط صحتها وإلى عيوبها ومفاعيلها القانونية فشرحها شرحاً قانونياً وافياً من الوجهتين العلمية والتاريخية.
