Book Description
تعد شركات المساهمة عصب النمو الإقتصادي، وذلك لإضطلاعها بالمشاريع الكبرى التي تعجز عنها قدرات الأفراد، بسبب قدرتها على تجميع رؤوس الأموال الضخمة، حتى أصبحت الدول تلجأ إليها للقيام بالمشروعات الضخمة ومشاريع التنمية.
ويعرف المشرع المصري شركة المساهمة في المادة (2) من قانون الشركات بأنها "شركة ينقسم رأس مالها إلى أسهم متساوية القيمة يمكن تداولها على الوجه المبين في القانون، وتقتصر مسؤولية المساهم على أداء قيمة الأسهم التي اكتتبت فيها، ولا يسأل عن ديون الشركة إلا في حدود ما اكتتب فيه من أسهم، ويكون للشركة اسم تجاري يشتق من الغرض من إنشائها، ولا يجوز للشركة أن تتخذ من أسماء الشركاء أو اسم أحدهم عنواناً لها".
ويعرف المشرع الكويتي أيضاً شركة المساهمة في المادة (63) من قانون الشركات بأنها شركة تتألف "من عدد من الأشخاص يكتتبون فيها بأسهم قابلة للتداول، ولا يكونون مسؤولين عن إلتزامات الشركة إلا بمقدار القيمة الأسمية لما اكتتبوا من أسهمها".
