يعتبر القانون التجاري فرعاً من فروع القانون الخاص، إلى جانب القانون المدني مع استقلاله عنه رغم ارتباطه الوثيق به. ذلك أن لمعايير التي برزت لتمييز العمل التجاري أظهرت مدى الحاجة لاستقلال القانون التجاري ودحضت رأي القائلين بوحدة القانون الخاص. ولكن النظريات على اختلافها، الموضوعية التي تقول بالعمل التجاري كمعيار للدخول في نطاق القانون التجاري، أو الشخصية التي تعتمد على شخص التاجر لتحديد هذا النطاق، قصرت في وضع تعريف جامع مانع لهذا القانون، نظراً لشموله لتصرفات وأعمال ومشاريع لا يمكن أن تقع تحت الحصر، إن في الحاضر أو المستقبل، فكانت صعوبة تعريف القانون التجاري مماثلة لصعوبة تعريف التجارة والتاجر. وهذا ما حدا بالمشرع اللبناني الذي غلب النظرية الموضوعية، أن يعمل مضطراً إلى تعداد بعض الأعمال التجارية على سبيل المثال. وقياساً تعتبر الأعمال الأخرى تجارية أصلية، أو تبعية أو مختلطة أم لا. ومن جهة أخرى فإن المصادر التي أشار إليها المشرع لاعتمادها من قبل القاضي عند انتفاء النص، تفيد بموضوعية عن عدم القدرة بالإحاطة مما يشتمل عليه نطاق القانون التجاري، الآخذ في الاتساع، طارقاً أبواب النشاطات الاقتصادية على اختلافها. وهذا الكتاب يعالج موضوع التجارة والمؤسسة التجارية والنظرية العامة للشركة، وذلك بعد التعريف بالقانون التجاري ونطاقه وتطوره ومصادره.
