يذهب رجال القانون في تعريف الورقة التجارية مذاهب شتى ويعزي ذلك إلى أن الفقهاء لم يتفقوا على تعريف واحد لكن يمكن القول إن الورقة التجارية عبارة عن (سند محرر بالشكل المعين في القانون يكون قابلاً للتداول وتتضمن حقاً لحاملة أو للمستفيد منه يتمثل بمبلغ من النقود يدفع من قبل الملتزم بموجب السند في أجل قصير أو عند الإطلاع).
وتقوم هذه الورقة بوظائف اقتصادية مختلفة فهي أداة لنقل النقود وأداة وفاء وأداة ائتمان، وفرق بين هذه الأوراق والأوراق الأخرى يمكن في أن الأوراق التجارية تمثل مبلغاً من النقود مستحق الدفع في أجل قصير أما الأوراق المالية فهي تمثل قروضاً طويلة الأجل وتصدر بمجموعات لا تختلف كل واحدة منها عن الأخرى إلا برقمها حيث تصدر بأرقام متسلسلة وبقيمة متساوية. أما الأوراق النقدية فهي تصدر عن البنك المركزي ويكون الأفراد مجبرون على قبولها بحكم القانون بينما لهم الحرية في رفض الورقة التجارية في معاملاتهم.
والدكتور "فوزي محمد سامي" يعرض في كتابه هذا لشرح القانون التجاري ويبسط كل ما يتعلق بالأوراق التجارية، في ثلاثة أبواب: الباب الأول يتحدث فيه عن سند السحب (السفتجة أو البوليصة). ويتناول في الباب الثاني ما يتعلق بالسند لأمر (الكمبيالة) في حين خصص الباب الثالث للشيك.. وقد قدم لهذه الأبواب بمقدمة عامة بين فيها معنى الورقة التجارية ووظائفها وانو أعها.وقدم نبذة تاريخية عن نشأتها وتقنين أحكامها.
