يعد العقد من أهم أدوات التعامل بين الأسخاص لتحقيق أهداف معينة على صعيد العلاقات القانونية والاقتصادية. يهدف هذا البحث إلى بلورة حقيقة موضوع نطاق العقد بصورة تلم شتاته وتجسد أبعاد فكرته برسم صورة واضحة لتحديد نطاق العقد وحالات تدخل القاضي لإكمال النقص الذي يشوب مضمون العقد والوسائل والآليات التي يتم بها الاكمال، كما يهدف إلى إلقاء الضوء على الاجتهاد القضائي الذي أثرى مضمون العقد ببيان الالتزامات الجديدة التي كشف عنها القضاء الفرنسي وإبراز أهميتها في تحقيق التوازن العقدي بين طرفي العقد وخاصة في إطار العقود ذات الطابع المهني، في سبيل إرساء قواعد نظرية عامة لإكمال العقد تكون منطلقاً لإثراء مضمون العقد بالإلتزامات التي تعيد التوازن المعرفي بين المتعاقدين.
من هنا جاء هذا البحث محاولة من مؤلفه الدكتور سلام عبد الله الفتلاوي لإرشاد القضاء العراقي للسير في هذا الاتجاه، مسلطاً الضوء على القانون تشريعاً وفقهاً وقضاءً ولا سيما القانون المدني العراقي لمعرفة مدى قدرة قواعده العامة على استيعاب هذه التطورات.
