تعني فكرة تكميل العقد أو تفترض أن هناك عقداً صحيحاً قد تم بين أطرفه إلا أن هناك بعض المسائل الثانوية لم يتطرق إليها المتعاقدون مع أنها ضرورية لتنفيذ العقد تنفيذاً يحقق الغرض الذي قصده من وراء إنعقاده، وهذا يعني أن العقد ناقص التنظيم.
من هنا، أصبحت عملية تكميل العقد وسيلة يستطيع من خلالها القاضي التدخل في تحديد الإلتزامات التي ينتجها العقد، وهذا التدخل ينتج إلتزامات أبعد ما تكون عن الإلتزامات التي أرادها الطرفان، وحجة القاضي في هذا التدخل هو إعادة التوازن العقدي بين المتعاقدين، وإن التكميل يعني قيام القاضي بإضافة إلتزامات إلى مضمون العقد الأصلي على وفق المعايير التي وضعها المشرع، لكن ماهية تكميل العقد ومفهومه وما هو تمييز التكميل عن باقي الأوضاع القانونية من مثل التفسير، التكييف والتصحيح وما هو الأساس القانوني للتكميل وما هي حالات التكميل وما هي أسبابه وطرقه.
بالإضافة إلى ذلك ما هو دور القاضي في تكميل العقد وما هو المعيار القانوني للتكميل وما هو دور الرقابة القضائية على دور القاضي في تكميل العقد، كل هذه الأسئلة والإستفسارات، نجد الأجوبة لها في هذا البحث، حيث اعتمد المؤلف على الفقه والقضاء الفرنسي والمصري لندرة كتابات الفقه العراقي، وقد تناول في بحثه الموضوع في ثلاثة فصول الأول في ماهية تكميل العقد والثاني الأساس القانوني لتكميل العقد والثالث في دور القاضي في تكميل العقد.
