رغم أن مبدأ قانون الإرادة، في عمق مفهومه، يعنى خضوع العقد للقانون، إلا أنه تعرض، من جانب الفقه التقليدي، للنقد الشديد بحجة أنه يؤدي إلى "تشويه مضمون القانون، ويجعل من المقبول أن قانوناً ملزماً في الروابط بين المواطنين يصبح اختيارياً عندما يتعلق الأمر بروابطهم مع الخارج" وإلى اختيار القانون الأكثر استجابة لمصالحهم، على خلاف القانون الذي يرتبط به العقد موضوعياً وواقعياً.
ومهما يكن من أمر هذا الخلاف حول مبدأ قانون الإرادة ونطاقه، فإن العقد الدولي، وفقاً لهذا المبدأ ذاته، ومنذ مولده، يخضع بالضرورة لقانون دولة معينة، وتلك هي القاعدة الموروثة، التي لم تخرج عنها القوانين الوضعية وأحدث التشريعات في ميدان القانون الدولي الخاص.
وبحث كل تلك المعاني، وجلاء مضمون فكرة قانون العقد الدولي نعرض له في ثلاثة أبواب: التنظيم الإتفاقي للعقد الدولي، إختصاص قانون الإرادة بتنظيم العقد الدولي، أزمة قانون الإرادة ومآل العقد الدولي.
