تشكِّل تقنيَّة الفرانشيز إحدى تجليات العصر الذي نعيشه في إطار العولمة الإقتصاديَّة وتجميع رؤوس الأموال.
فإذا كان الفرانشيز قد نشأ في الولايات المتحدة الأميركيَّة كتقنيَّة مطبقة في الإطار الوطني، فإنه سرعان ما أصبح إحدى أكثر الوسائل فعاليَّة لغزو الأسواق الخارجيَّة خصوصاً في إطار التوزيع والخدمات.
وإذا كانت هذه التقنيَّة قد بدأ تطبيقها في الإطار العلمي منذ أوائل القرن الماضي، فإنَّ هناك عوامل عدَّة قد ساعدت في تفعيلها في العقود الأخيرة.
وقد كان لتطور الإتصالات ووسائل الإعلام دوراً حاسماً في سرعة إنتشار الفرانشيز وتفعيله في الإطار العالمي، إذ لا يخفي على أحد أنَّ هذا التطور قد أثر جذريّاً في ثقافة المستهلكين في العالم وأدَّى إلى نوع من توحيد تصرفاتهم وأفكارهم وأذواقهم، ممَّا سهل على المستثمرين إطلاق خدمات ومنتجات موحدة وضمان سرعة إنتشارها في مختلف أصقاع المعمورة.
إلا أنَّ تطور نظام الفرانشيز قد ترافق مع غياب التقنين وهذا الأمر، الذي يُشَكِّل إنعكاساً لكون الفرانشيز قد نشأ من الحاجة الإقتصاديَّة إليه، وتطوَّر مع تطوُّر معطيات الإقتصاد الدولي، يعطي مرونة أكبر لنظام الفرانشيز ويتيح له التلاؤم مع كافة تجليات الحياة الأعمال.
إلاَّ أنَّ غياب التنظيم القانوني الخاص لا يعني غياب القانون، إذ يبقى للأحكام القانونية العامَّة والأعراف الدوليَّة والإتفاقات والعقود النموذجية دورها في تنظيم هذا النوع من العقود، وهذا ما يعرض له في إطار هذا البحث.
فهذا البحث مخصص لدراسة عقد الفرانشيز كشكل من أشكال عقود التجارة الدوليَّة ومع مقارنة مع أحكام العقد النموذجي المعتمد في غرفة التجارة الدوليَّة، ويقسم هذا البحث إلى بابين رئيسين تناول المؤلف في أولهما أحكام الفرانشيز، وخصص الباب الثاني لدراسة مراحل عقد الفرانشيز، والآثار المترتبة عليها.
