يزاول الأفراد التجارة بأنواعها وصورها البسيطة - منذ أمد بعيد - التي تقوم على تبادل السلع فيما بينهم، ومع تطور الحياة أصبح الفرد غير قادر على النهوض بمهمات التجارة الواسعة ومتطلباتها؛ لذا فقد فرضت الحاجة تضافر جهود وأموال وفيرة ليتسنى لأصحابها القيام بالمشروعات الكبيرة ونتيجة لذلك تشكلت كيانات لممارسة التجارة سميت الشركات.
وقد عرفت أنواع متعددة من الشركات تبعاً لمسؤولية المساهمين (المشاركين) منها شركة الأشخاص، وشركات الأموال، وتعتبر شركات المساهمة كأحد شركات الأموال وفي الواقع من أهم الشركات نظراً لما تتمتع به في كثيرٍ من بلدان العالم من نفوذ يوازي في بعضها سلطات الدولة، فقد أصبحت تتدخل في وضع السياسات الإقتصادية بما لها من تأثير على إقتصاديات الدول.
لذا فقد لجأت الدول؛ إلى تنظيم قوانين الشركات بنصوص آمرة لا يجوز مخالفتها تحكم أعمالها وتوفر الحماية للمساهمين فيها وللمتعاملين معها من الغير، وذلك لتفادي ما قد تسببه هذه الشركات من إضرار بأفراد المجتمع والدولة على حد سواء إذا ما انحرفت عن الأهداف التي أنشئت من أجلها.
والحقيقة أن دراسة موضوع الشركات وبصفة خاصة الشركات المساهمة أصبحت ظاهرة ملحوظة، وفي هذا المجال لم يقتصر الأمر على بحث النظرية العامة للشركة فقط، فقد بدأ الفقه المعاصر يبحث في الرقابة الداخلية والخارجية، والتي من شأنها تطوير أداء الشركات وحمايتها وحماية حقوقها وحقوق المساهمين وضمان إستمرارها وتحقيقها للأغراض التي أنشئت من أجلها، وفي سبيل هذا بدأ الإتجاه نحو تبني ما أصبح يعرف بمفهوم الحوكمة.
