وقد تناول في هذا الكتاب النظام القانوني لمجلس إدارة شركات المساهمة العامة من حيث تشكيل المجلس وشروط العضوية فيه، واختصاصات وواجبات المجلس، والرقابة الداخلية والخارجية على عمل أعضاء المجلس، ومسؤولية أعضاء المجلس سواء المدنية او الجنائية. وفقاً لقانون الشركات العماني، وقواعد الحوكمة الجديدة؛ لإظهار أثر هذه القواعد الجديدة على ضبط سلوك أعضاء مجالس الإدارة.
وقد جاء هذا الكتاب في تمهيد: تناول مفهوم حوكمة الشركات وتطورها التاريخي، وفصول ثلاثة: تناول الفصل الأول: مجلس الإدارة واختصاصاته. والفصل الثاني: أفردناه للحديث عن أعمال أعضاء مجلس الإدارة. اما الفصل الثالث: فقد ناقشنا مسؤولية أعضاء مجلس الإدارة.
