يثير موضوع تحمل التبعة العديد من المشكلات العملية خاصة في حالات النقل بالحاويات، والنقل متعدد الوسائط، والشحنات السائبة، وفقد البضاعة المبيعة غير المفرزة، وبيع البضائع أثناء مرحلة نقلها وهو من الموضوعات الهامة التي تم تنظيمها في العديد من القوانين الوطنية والاتفاقيات الدولية، إذ لا يوجد تشريع نظم عقد البيع إلا وتناول موضوع تبعة الهلاك لحيويته في تحديد التزامات الطرفين. وكان هذا الموضوع محل اهتمام الاتفاقيات الدولية الخاصة بتوحيد أحكام عقد البيع الدولي.
ونظراً لأهمية موضوع انتقال التبعة في نطاق عقد البيع الدولي للبضائع فقط اخترنا تنظيم اتفاقية فيينا له موضوعا لهذه الدراسة، والتي نحاول فيها التعرف على مفهوم التبعة، ووقت انتقالها، وأثر مخالفة المتابعين لأحكام العقد على انتقالها.
لما كانت الأنظمة القانونية المقارنة تختلف حيال مسألة تعيين وقت انتقال التبعة من البائع إلى المشتري لذلك نمهد للدراسة باستعراض المذاهب والحلول المختلفة التي تتبناها القوانين الوطنية لمسألة انتقال التبعة في عقد البيع ونتتبع جذورها التاريخية. ثم نبحث المسألة في إطار القواعد الموضوعية لقانون التجارة الدولية، حيث نبين الحلول التي اخذت التي أخذت بها اتفاقية لاهاي 1964، وتلك التي تضمنتها المصطلحات التجارية الدولية. وبعد ذلك ندرس المسألة في إتفاقية فيينا. وتتركز دراسة انتقال تبعة الهلاك على جانبين رئيسيين هما: وقت انتقال التبعة، وأثر مخالفة العقد على انتقالها، لذلك اقتضت منا طبيعة البحث في هذا الموضوع أن نبني خطته على باب تمهيدي، وبابين، وخاتمة، وذلك على النحو التالي: الباب التمهيدي: انتقال التبعة في الأنظمة القانونية المقارنة، الباب الأول: أحكام تحمل التبعة، الباب الثاني: أثر مخالفة أحكام العقد على انتقال التبعة.
