تتميز عمليات الفاكتورينج- التي تأتى في إطار توفير التمويل اللازم للمشروعات التجارية: ببعض الخصائص ما جعلها تنفر بطبيعتها من الدخول تحت أحد الأشكال التقليدية للعقود المدنية أو التجارية، ذلك أن هذه العمليات تقوم في الأصل علي التعاون والتقريب بين المشروعات المالية والتجارية بهدف تحقيق أهداف اقتصادية معينة، كما أنها تبنى علي الإعتبار الشخصى والثقة المتبادلة بين الأطراف، حيث يلتزم كل طرف فيها بإمداد الطرف الآخر بكافة المعلومات الخاصة بالموقف المالي والتجاري للعملاء، ممن يدخل معهم المشروع التجاري (الدائن)- الطرف الثاني في العقد- في صفقات تجارية، كما تتميز هذه العقود أيضاً بتداخل وتشابك عدة اتفاقات في مرحلة إبرامها وتكوينها، وفى مرحلة تنفيذها، وبالتالى تتعدد الأشخاص ذوو الصفة والمصلحة في إبرام هذه العقود.
من هنا كان اهتمام الفقه بعقد شراء الحقوق التجارية الثابتة في فواتير، محاولاً تحديد الإطار القانونى والتنظيمى لهذا العقد علي ضوء الوظيفة الإقتصادية بين أطرافه.
وعلي ما تقدم فإننا سوف نقوم في هذه الدراسة بالتعرض لبيان مفهوم عقد شراء فواتير الديون التجارية وبيان صوره العملية، وجدواه الإقتصادية للمشروعات التجارية، وذلك وصولاً إلي محاولة تحديد طبيعته القانونية، ومن ثم الآثار التي يرتبها بين طرفيه.
وعليه فإننا سنتناول هذا العقد في فصلين علي النحو التالي: (عقد شراء الفواتير في الإطار العملي، التنظيم القانوني لاتفاق شراء الفواتير).
