أرى لزاماً على أن أقوم بداية بتحديد إطار البحث الذي سيتم من خلال تناول مفردات هذه الدراسة، والذي يهتم بصفة أساسية باستظهار السمات المميزة لمفهوم الإمتياز التجاري كمفهوم حديث نسبياً وآلية عقدية - غابت عن ذهن المشرع المصري - يمكن من خلاله تكرار النجاح الإقتصادي لمؤسسة تجارية أو صناعية ترغب في بلوغ هذا النجاح. والواقع أنني قد سايرت بهذا التحديد المنهج الفرنسي الذي انتهجه الفقه الفرنسي المعاصر الذي تناول هذا العقد بالدراسة والتحليل، مستعيناً في ذلك بالعديد من أحكام القضاء سواء في مجال عقود الإمتياز أو في غيره من العقود قريبة الشبهبه، وتحظى دراسة عقد الإمتياز التجاري بأهمية بالغة تفرض نفسها على واقع الأمور سواء في فرنسا أو مصر، فليس من شك في أن التعرض لهذا الشكل العقدي الحديث من أشكال التوزيع سيقدم عوناً كبيراً للمشرع المصري في وضع التنظيم التشريعي المناسب لهذا العقد، خاصة مع انتشار هذا النموذج السحري للنجاح على أرض الواقع التجاري والخدمي المصري.
ويسوغ لي - في إطار دراسة النظام القانوني لعقد الإمتياز التجاري - أن أتناول هذا الموضوع من خلال استعراض أربعة أبواب، يسبقهم فصل تمهيدي يتناول التطور التاريخي لنظام الإمتياز التجاري والممايزة بينه وبين غيره من العقود التجارية- قريبة الشبه به- ثم المزايا التي تقدمها ممارسة النشاط التجاري بهذا النظام، ثم (الباب الأول: العناصر المميزة لمفهوم الإمتياز التجاري، الباب الثاني: حماية مفهوم الإمتياز قبل وأثناء التعاقد، الباب الثالث: انتهاء عقد الإمتياز التجاري وآثاره، الباب الرابع: عقد الإمتياز في ضوء قوانين المنافسة ومنع الممارسات الإحتكارية).
