تعاظم الإهتمام بمفهوم حاكمية الشركة Corporate Governance في العديد من الإقتصاديات المتقدمة والنامية خلال السنوات القليلة الماضية ولا سيما في أعقاب الإنهيارات الإقتصادية والأزمات المالية التي شهدتها عدة من دول شرق آسيا وأمريكا أللاتينية وروسيا الإتحادية والبرازيل في عقد التسعينيات من القرن العشرين، وكذلك ما شهده الإقتصاد الأمريكي مؤخراً من تداعيات الإنهيارات المالية والمحاسبية لعديد من الشركات الأمريكية العالمية أمثال شركة Enron و World Com و Parmalate خلال عام 2002.
وتتسع دائرة الإهتمام بحاكمية الشركات في القطاع المصرفي (التي تعرف فيما بعد بحاكمية المصارف Governance) وتأخذ بعداً مفاهيمياً أوسع وأشمل من سابقه في الشركات غير المالية، إذ يعد توافر نظام مصرفي صحي وسليم أحد الركائز الأساسية المطلقة لسلامة عمل سوق الأوراق المالية وقطاع الشركات.
وفي إطار هذا المناخ، جاء الكتاب كمحاولة لتسليط الضوء على أهم المقررات الدولية التي جاءت بها المؤسسات المالية والنقدية الدولية ولا سيما بنك التسويات الدولية ممثلاً بلجنة بازل للرقابة المصرفية، في وضع الإطار المؤسسي لهيكل الحاكمية وضمان الممارسات السليمة لها، والتوصية بضرورة تبني معايير ومبادئ حاكمية المصارف الدولية لإصلاح الأطر القانونية والتنظيمية الداعمة لبناء وتعزيز أنظمة حاكمية جديدة في كافة المصارف العاملة في العراق.
وتمثل المصارف الأهلية العراقية المدرجة في سوق العراق للأوراق المالية مجالاً لإجراء التطبيقات العملية عليها، ومن هذا المجتمع تم إختيار خمسة مصارف أهلية هي: مصرف بغداد، المصرف التجاري العراقي، مصرف الإستثمار العراقي، مصرف الشرق الأوسط، والمصرف الأهلي العراقي.
وقد حددت هذه المصارف بوصفها عينة عمودية لغرض دراستها نظراً لقدم تأسيسها، والإنتظام في تداول أسهمها، وسهولة الحصول على تقاريرها السنوية، اقتصرت التطبيقات العملية على أربع عشرة سنة (1992- 2005) حسب ما هو متوفر من تقارير سنوية للمصارف عينة الدراسة فضلاً عن أن تلك المدة كافية لإجراء التحليل عليها، وقد تم الإستعانة بالبرنامج الإحصائي الجاهز SPPS لإجراء تحليل العلاقات والتأثير بين متغيرات البحث وإختبار الفرضيات.
