عمد المؤلف في دراسته هذه إلى التركيز على أساسيات التعديل التشريعي لقوانين الشركات وأسواق الأوراق المالية والإستثمار وقواعد الإفلاس العراقية، مع المقارنة بأهم التشريعات الخاصة بحوكمة الشركات على المنسوبين العالمي والعربي، بهدف إبراز الموقف الحقيقي للمشرع العراقي في هذا المجال، سعياً منه لدعم موقفه المتقدم وتشذيباً لما يمكن ان يحصل من تعارض محتمل مع أحكام قانونية أخرى، مع إقتراح الحل الذي يراه مناسباً في جميع الأحوال.
من أجل ذلك، وتحقيقاً للأهمية المذكورة من البحث في موضوع النظام القانوني لحوكمة الشركات، وصولاً للغاية من تحقيق أهداف الدراسة بجوانبها المختلفة، قدر المستطاع، فقد وضع المؤلف لذلك خطة بحث مكونة من ثلاثة فصول بوجه عام تناول في الفصل الاول منها التعريف بالنظام القانوني لحوكمة الشركات.
أما الفصل الثاني فبين فيه نطاق النظام القانوني لحوكمة الشركات، اما الفصل الثالث، فإن البحث فيه سيتركز على الضمانات القانونية للعمل بحوكمة الشركات، وانتهى بعد ذلك، بخاتمة الأطروحة، التي تحوي ما توصل إليه من نتائج عملية خلال الدراسة في موضوعها، إضافة للمقترحات اللازمة، لتقويم وتفعيل العمل بحوكمة الشركات نظرياً وعملياً.
يتضمن الكتاب التعريف بحوكمة الشركات أي النشأة التاريخية والتأصيل التاريخي ثم سمات حوكمة الشركات والاساس القانوني لحوكمة الشركات إضافة إلى نطاق تطبيق حوكمة الشركات وضمانات تطبيق قواعد حوكمة الشركات التي تتناول الالتزام بالإفصاح ومفهوم الالتزام بالإفصاح وشروط تنفيذ الالتزام ثم الرقابة على العمل بقواعد الحوكمة ودور الادارة في تطبيق النظام القانوني لحوكمة الشركات ثم الاسس الفلسفية لادارة الشركة وأخيراً جزاء الإخلال بتطبيق النظام القانوني لحوكمة الشركات.
