يعد عقد الإستثمار الخاص في إنشاء مصافي لتكرير النفط الخام من العقود الحديثة نسبياً، والتي تتصف بالزمنية وتتعلق بسلعة إستراتيجية وإقتصادية وتجارية، حيث كانت سابقاً تندرج بصورة بند في العقود النفطية الإستخراجية، والذي يتطلب وصول الإنتاج لنسبة معينة ليتم بعد ذلك إلزام الشركة المستثمرة إنشاء مصافي لتكرير النفط الخام، إلا أن التقدم الحاصل في الصناعات النفطية التحويلية والذي تعتبر من الركائز الأساسية للدول المضيفة للإستثمار دفع أغلب الدول إلى إصدار تشريعات لغرض جذب الإستثمار في إنشاء مصافي لتكرير النفط الخام ومنها العراق الذي أصدر قانون الإستثمار الخاص في تصفية النفط الخام رقم (64) لسنة 2007 وتعديلاته، حيث يتطلب ذلك أموال طائلة وخبرات فنية قد لا تتوافر لدى أغلب البلدان النامية، لذلك تعد دراسة الجوانب القانونية لهذا العقد أهمية كبيرة في تحقيق الإستثمار الأمثل من خلال التعريف بهذا العقد وشروط إنعقاده وتحديد طبيعته القانونية وبيان إلتزامات الأطراف والآلية القانونية لتسوية المنازعات التي قد تثور بسبب إنعقاده.
