تستهدف هذه الدراسة، فى الأساس، استعراض أصول صياغة العقود بصفة عامة أى ذلك الفن التعاقدى الذى يقولب عملية معينة ( تجارية- صناعية- مالية..) فى قالب تعاقدى يعكس الاتجاه الذى ارتضاه أطراف هذه العملية للارتباط التبادلي.
وعلى هذا الاساس فسوف نوجه اهتمامنا إلى الفن التعاقدي المذكور دون التوقف عند خصوصيات كل عملية مما قد يكون له دور فى توجيه الصياغة وجهة خاصة. ويجب أن نلاحظ أن مقتضيات هذا الفن لا تتغير كثيرا بحسب نوع العلاقة التى يقميها العقد وهو ما يبرر التصدى لمشاكل بناء العقد كهيكل عام يكن أن يستوعب العديد من العلاقات أيا كان مضوعها. وإذا كان القانون يوجب، فى شان العملية التى يرغب أطرافها الارتباط تعاقدياً، تضمنها بعض الشروط أو البنود الالزامية، فإن هذا الالتزام إنما يتوجه الى موضوع البند دون أن يطال كيفية صياغة التى تظل خاضعة لمقضيات الفن التعاقدى، وهذا كله يستوجب تحليل المبادئ التى تخضع لها صياغة العقود، وهذه هي المبادئ التى يقام على أساسها هيكل العقد ولكن ما كانت الغاية من الصياغة تقترض اتصالها بموضوع أو موضوعات يراد التعبير عنها فى الشكل التعاقدي، وكان لهيكل العقد الذى يراد بناؤه، محتوى فى طبقاته أى بنوده، فان الحاجة تعرض، من جانب آخر، لمعرفة موضوع هذه البنود، وكيف يمكن صياغة ليأخذ مكانة المناسب فى الهيكل العقدى.
