يتناول البحث في هذه الرسالة دراسة "جريمة استغلال المعلومات الداخلية للشركات المساهمة" المنصوص عليها في المادة رقم (20) مكرراً من قانون سوق رأس المال رقم 9 لسنة 1992، والتي أضيفت بموجب القانون رقم 123 لسنة 2008 الخاص بتعديل أحكام قانون سوق رأس الما، وتنص هذه المادة على أنه "يحظر على الأشخاص الذين تتوافر لديهم معلومات عن المراكز المالية للشركات المقيدة بالبورصة أو نتائج أنشطتها وغيرها من المعلومات التي يكون من شأنها التاثير على أوضاع هذه الشركات، التعامل عليها لحسابهم الشخصي قبل الإعلان أو الإفصاح عنها للجمهور.
وسوف تعتمد هذه الدراسة على المنهج التأصيلي التحليلي المقارن، وذلك لتحقيق الهدف الذي يتمثل في محاولة الوصول لحل المشكلات التي يثيرها موضوع البحث، وسوف نقوم بالرجوع إلى المبادئ العامة لقانون العقوبات، والدراسة تعتمد على المنهج المقارن بين القانون المصري والقانون الفرنسي المتقدم في مجال سوق رأس المال، من وقت غير قريب، للتصدي للعديد من المشاكل التي يثيرها النص المصري لجريمة استغلال المعلومات الداخلية، والتعرف على الحلول المناسبة لهذه المشاكل والتي أقرها الفقه والقضاء في فرنسا، ولمعالجة القصور في هذا النص، وللوصول إلى الصياغة الملائمة للنص المقترح لمكافحة هذه الجريمة.
وبناء عليه تكون خطة البحث كالتالي: (باب تمهيدي: نطاق التجريم، القسم الأول: أركان جريمة استغلال المعلومات الداخلية ونستعرض في هذا القسم الموضوعات التالية: "الباب الأول: الركن المفترض للجريمة:، الباب الثاني: الركن المادي، الباب الثالث: الركن المعنوي"، القسم الثاني: جزاء استغلال المعلومات الداخلية، ونتناول في هذا القسم دراسة الجزاءات الآتية: "الباب الأول: الجزاء الجنائي، الباب الثاني: الجزاء الإداري"، ويختتم البحث بعرض ما أمكن التوصل إليه من نتائج، والنص المقترح لهذه الجريمة).
