يدور الحديث في هذا الكتاب عن نظام الإفلاس وخصائصه في القانون اللبناني، وكيفية تعامل المشرّع من خلال القانون المدني، والقانون التجاري مع التاجر الذي أعلن إفلاسه.
والإفلاس هو نظام ورد في قانون التجارة، ونظم من قبل المشرع التجاري، يهدف إلى "تأمين خصوصية العمل التجاري ألا وهو تفعيل الثقة في المعاملات التجارية، ودعم الإئتمان التجاري عبر وضع عقوبات تجارية ألا وهي إعلان إفلاس التاجر المتوقف عن دفع ديونه التجارية".
وفي هذا الكتاب تتطرق الدكتورة سيبيل جلول إلى نص المادة (268م.ع) في القانون المدني التي كرس فيها المشرع حق الإرتهان العام العائد للدائن على ذمة مدنية، ووسائل تنفيذ تحصيل الديون، وشروطها. كذلك تتطرق المؤلفة إلى النصوص القانونية المطبقة في لبنان والتي تخضع لقانون التجارة اللبناني الصادر عام 1942، والتعديلات التي طرأت على هذا القانون للفصل في المنازعات بين الدائنين.
توزع الكتاب على قسمين وأبواب وفصول جاءت تحت العناوين الآتية:
القسم الأول: شروط وحلول الإفلاس، ويضم: شروط وحلول الإفلاس قبل صدور حكم بإعلانه، شروط إعلان الإفلاس، تفادي إعلان الإفلاس – الصلح الإحتياطي والصلح الودي، شروط وحلول الإفلاس بعد صدور الحكم بإعلانه، حكم الإفلاس، حلول الإفلاس.
القسم الثاني: مفاعيل وإجراءات التفليسة. ويضم: مفاعيل الإفلاس، مفاعيل الإفلاس بالنسبة للمدين، مفاعيل الإفلاس بالنسبة إلى حقوق الدائنين، إجراءات التفليسة، في أركان هيئة التفليسة، إدارة التفليسة لغاية جلسة المصالحة أو إعلان حالة الإتحاد.
