ولما كان الإفلاس بناء على حكم قضائي لا يكفي وحده لحماية الضمان العام للدائنين، لأن المدين قد يسارع بالتصرف في أمواله قبل الحكم بإفلاسه على وجه يضر بهم، فقد أخذ بعض الفقهاء بالإفلاس دون حكم.
وقد كانت هذه الجزئية من الجزئيات التي كانت محل بحث واجتهاد من قبل الفقهاء المسلمين، بقصد استنباط الأحكام المتعلقة بتنظيمها على وجه يكفل حقوق الدائنين من غش المدين، لما لها من أهمية في تحقيق المصالح ورعاية الحقوق.
وفي هذا الكتاب يأخذ البحث منهج الدراسة المقارنة بين فقه الشريعة الإسلامية وبين ما يطبق من نظم قانونية حديثة مشابهة له، فبدأت بتناول ما جاء في التشريع والفقه والقضاء الوضعي، متبعاً ذلك بما جاء فى الفقه الإسلامي بمذاهبه المختلفة والموازنة بين الآراء، للتوصل إلى الرأي الذي نعتقد ترجيحه، مع عدم إغفال كتابات الباحثين المحدثين، ثم المقارنة أخيراً بين القانون الوضعي والفقه الإسلامي لبيان أوجه الاتفاق والاختلاف بينهما، وسمو الفقه الإسلامي وجدارته بتبوأ مكانته اللائقة به في عالم التشريع.
وقد خططت ليكون البحث في مقدمة وسبعة مباحث وخاتمة- المقدمة، وتشتمل على ما يلي: التعريف بالغش واختلافه على التدليس، والتأصيل التاريخي للحماية الجنائية للدائنين ضد غش المدين، والمبحث الأول: لزوم الحماية الجنائية للدائنين ضد غش المدين، المبحث الثاني: طرق التصرف الجرمي المسبب للإعسار، المبحث الثالث: تحديد الديون المقصود التخلص من الوفاء بها، المبحث الرابع: شروط تجريم التصرف، المبحث الخامس: الأحكام الإجرائية للدعوى الجنائية، المبحث السادس: العقوبة المقررة للجريمة وتنفيذها وتكييفها، المبحث السابع: التضامن الخاص في الوفاء بالديون التي قصد التخلص منها.
