تكمن أهمية هذه الدراسة في الجوانب القانونية المنظمة لمرحلة المفاوضات العقدية في أن مرحلة المفاوضات العقدية هي من المراحل المهمة في إبرام العقود وخصوصاً في الوقت الحاضر، حيث العقود الضخمة والكبيرة التي تبرم وتتم في كل وقت، ومع تطور التجارة الدولية والعقود العابرة للحدود، تظهر الأهمية لذلك إذا ما أخذت من جانب العقد الإلكتروني وآلية إبرامه وبما يميزه عن العقود التقليدية.
لذلك، تهدف هذه الدراسة إلى معالجة أبرز الإشكالات والمسائل الهامة في موضوع الجوانب القانونية التي تنظم مرحلة المفاوضات العقدية كمرحلة سابقة على إبرام العقد، وذلك في القانون الأردني وبعض من نصوص قانونية أخرى منظمة لهذه المرحلة، من خلال طرح التساؤلات والبحث عن الإجابات المنطقية والشافية التي تستند إلى أساس قانوني صحيح.
كما يسعى هذا الكتاب إلى دراسة وتحليل النصوص القانونية ذات العلاقة، والوقوف عند نقاط وجوانب النقص والضعف التي فاتت المشرع، وكذلك إقتراح الحلول والبدائل المناسبة لمعالجة أوجه القصور والضعف.
وتأسيساً على كل ما يقدم، فقد قُسمت الدراسة إلى ثلاثة فصول، جاءت على الشكل التالي: الفصل الأول: مفهوم المفاوضات العقدية، الفصل الثاني: الإلتزامات الناشئة عن حسن النية في المفاوضات العقدية، الفصل الثالث: المسؤولية في مرحلة المفاوضات العقدية.
