يكشف لنا الدرس التاريخي أن العدالة في العقود تقترن بما يناقضها إذا كنا بصدد دراسة العدالة العامة، فهي تقترن بالمنفعة؛ ومن ثم فإن الترفع عن الحصول على المنفعة عند التعاقد يخرج بالعقد عن حقيقته؛ فلا عقد بغير منفعة؛ وبقدر تحقيق كل طرف منفعته من العقد بقدر ما تتحقق العدالة العقدية.
ونحن في هذا البحث المتواضع نحاول أن نلقي الضوء على أزمة العدالة العقدية في القانون الروماني لأنه مصدر الوحي لغالبية قوانين دول العالم، ومن ثم لا تكتمل الفائدة إلا إذا عرجنا ببصرنا تجاه بعض القوانين الحديثة في معالجتها لتلك الأزمة لنخلص من ذلك مدى نجاحها أو سقوطها.
وبناء على ذلك يكون تقسيمنا للبحث إلى فصلين:
الفصل الأول: أصول فكرة العدالة في الفكر القانوني الروماني.
الفصل الثاني: العدالة العقدية ومفهوم العقد الروماني.
