ويتناول القسم الثاني الأسس العامة والقواعد التي تحكم عملية المراجعة والتدقيق من حيث المراجعة الداخلية والمعايير المهنية التي تحكمها ومن حيث المراجعة الخارجية وتقسيماتها وقواعدها الرئيسية، كما يعرض هذا القسم لحقوق وواجبات ومسؤولية المراجع وما يجب أن يكون عليه رأيه من صفات مختلفة، ويختتم الدراسة فيه بعرض علاقة المراجع بنظم الرقابة الداخلية في المشروع وما يجب أن تتميز به هذه النظم من خصائص ومقومات حتى تكون على مستوى جيد يساعد في إنجاز عملية المراجعة والتدقيق بكفاءة وفاعلية، لذلك يلزم أخيراً عرض أهم طرق تقييم هذه النظم للوقوف على مدى كفاءتها وفاعليتها في هذا المجال.
