إن عقود الاستثمار تعتبر أول من ثار بشأنه قضايا التحكيم المشهورة، وأول من ثار بشأنه المعارك الفكرية القانونية بخصوص التدويل والثبات التشريعي وغير ذلك، وهذا ما لا يتوافر للتجارة الدولية وعلاقاتها، وإن كان العقد الدولي يجمع بين كل من الاستثمار الدولي والتجارة الدولية بوصفه الأداة التي يتم من خلالها كل منهما، الأمر الذي أدى إلى توحيد القواعد القانونية التي يخضع لها هذا العقد، سواء تم في مجال الاستثمار الدولي أو التجارة الدولية.
وتكمن صعوبة الدراسة في أنها جاءت عامة واسعة النطاق، الأمر الذي اقتضى البحث في مختلف نواحي القانون الدولي الخاص، وقد رأينا أن أنسب تقسيم لها هو تقسيمها إلى بابين يسبقهما فصل تمهيدي، حيث إن هذه الدراسة لم تكن تدور حول جانب نظري، وآخر عملي مترتب عليه، في مجال بعينه، حتى يتسنى تقسيمها إلى قسمين، يضمن الأول الدراسة النظرية ويضمن الآخر الدراسة العملية، بل إن كل باب من أبواب الرسالة يتضمن دراسة تختلف اختلافاً جذرياً عن الدراسة التي يتضمنها الباب الآخر، لذلك تم تقسيم الرسالة على النحو التالي:
فصل تمهيدي تعريف وأنواع الاستثمار الأجنبي، الباب الأول دور الاستثمار الأجنبي في تطور تنازع القوانين، الفصل الأول حول مفهوم الأمريكي والمفهوم الأروبي للتطوير في القانون الدولي الخاص، الفصل الثاني التطور نحو ازدواج الإسناد في مجال العقود، الفصل الثالث دور الاستثمار الأجنبي في التطور نحو تعدد المناهج في القانون الدولي الخاص، الباب الثاني دور الاستثمار الأجنبي في تطور قواعد الاختصاص القضائي الدولي ومركز الأجانب والجنسية، الفصل الأول دور الاستثمار الأجنبي في تطور قواعد الاختصاص القضائي الدولي، الفصل الثاني دور الاستثمار الأجنبي في تطور مركز الأجانب والجنسية.
