يشرح هذا الكتاب (عقد المقاولة) في القانون العراقي وفقاً للمادة 864 من القانون المدني والتي تنص على أنه (المقاولة عقد به يتعهد أحد الطرفين أن يصنع شيئاً أو يؤدي عملاً لقاء أجر يتعهد به الطرف الآخر.
وفي هذا السياق يوضح المؤلف خصائص عقد المقاولة في القانون المدني العراقي، وأهميته في الوقت الحاضر وموقعه؛ ويميزه عما يشتبه به من عقود أخرى فهو غير عقد البيع أو عقد العمل أو عقد الوكالة أو عقد الإيجار، ثم يبحث في شروط صحته ومتى يتوجب فسخه، ويورد رأي فقهاء الشرعية به والحكم المستخلص من الشرعية الإسلامية في أحوال عقد المقاولة.
يتألف الكتاب من أربعة أبواب يكمل بعضها بعضاً يبحث الباب الأول في (أركان عقد المقاولة): التراضي، المحل، الأجر ... ، بينما يبحث الباب الثاني في (آثار المقاولة): إلتزامات المقاول بإنجاز العمل، الضمان، دفع الأجر، المقاولة من الباطن، والتنازل عن المقاولة ... ، ويخصص الباب الثالث لموضوع (إنتهاء عقد المقاولة): الحالة الأولى انتهاء عقد المقاولة بسبب إنجاز العمل، والحالة الأخرى: إنتهاء المقاولة بإرادة رب العمل المنفردة ... ، ويختتم الباب الرابع بعرض لـ (بعض أنواع المقاولة) مثل: إلتزامات المرافق العامة (الإمتياز) ، ومقاولات أعمال الهندسة المدنية، وعقد الإعلان وعقد النشر ...
