حدد قانون الشركات المؤقت رقم (1) لسنة 1989، القواعد التي تحكم الشركات التجارية في الأردن بوصفه التشريع المنظم لها، وقد نشر هذا القانون بالعدد 3596 من الجريدة الرسمية, وقد ألغي هذا القانون في المادة 320 منه قانون الشركات رقم 12 لسنة 1964 والتعديلات التي أدخلت عليه، كما ألغيت بمقتضى هذه المادة نصوص وأحكام أية تشريعات أخرى تتعارض مع أحكامه.
ويتضمن هذا القانون 321 مادة عالج فيها المشرع شركات التضامن، والتوصية البسيطة، والمحاصة، وذات المسؤولية المحدودة، والتوصية بالأسهم، والمساهمة. كما عالج فيها الشركة القابضة وشركة الاستثمار المشترك والشركة المعفاة والشركات الأجنبية، سواء الشركات الأجنبية العاملة في المملكة أو غير العاملة فيها، أي شركات المقر ومكاتب التمثيل، بالإضافة إلى تحول الشركات واندماجها وتملكها. وستقتصر دراستنا في هذا المؤلف على شركات التضامن والتوصية بنوعيها البسيطة بالأسهم والمحاصة وذات المسؤولية المحدودة والمساهمة، أما باقي الشركات فسنتناول بحث أحكامها في مؤلف مستقل مع تحول الشركات واندماجها. وستكون دراستنا للشركات التجارية في الأردن مقارنة مع قوانين الشركات في الدول العربية المحيطة بالمملكة الأردنية الهاشمية، وهي العراق وسوريا ولبنان والسعودية ومصر.
