فكرة وضع هذا الكتاب تكوّنت لديّ نتيجة لأمرين: الأول، وهو أن ما كتب بصدد الشركة المساهمة (المغفلة) لغاية اليوم، يميل إلى المطولات التي قد يتيه في طياتها العديد من الساعين إلى التعرف بها؛ أما الثاني، فهو إن ما كتب بشأنها، كتب في ظل تشريعات طرأ عليها بعض التعديل فباتت والحالة ما ذكر بحاجة إلى إعادة النظر فيها.
ولقد كان حاضراً في ذهني عند ذاك، بصورة خاصة، كل من الطالب الجامعي في كليات الحقوق وإدارة الأعمال، والمحامي الغائص في التشعبات التي تفرضها عليه مهنته، ورجل الأعمال، وكل من نشأت له علاقة بالشركة المساهمة أو هو راغب عليها.
لذا، فقد ضمنت هذا الكتاب أهم المبادئ القانونية التي ترعى الشركة المساهمة، والقواعد التي استقر عليها العلم والإجتهاد، آخذاً بآخر التعديلات التي طرأت عليها بموجب التشريعات الحديثة، وهو إن كان يفي من حيث إنه يوفر الفكرة الجامعة والمركزة للشركة المساهمة، فهو لا يدّعي إغناء المستزيد عن المؤلفات المطولة التي سبق للعديد من الباحثين أن اغنوا مكتبتنا بها، والتي غالباً ما أشير إليها في هذا الكتاب.
