أصل هذا الكتاب مجموعة محاضرات في العقود المسماة، قام الدكتور منذر الفضل بإلقائها على طلبة الحقوق في جامعتي مؤتة وعمان الأهلية للعاملين الدراسيين (91/92 و92/93). وبالنظر لعدم توفر كتاب يشرح القانون المدني الأردني في ميدان هذه العقود، وبسبب الحاجة لمؤلف يرجع إليه الطلبة في (البيع والإيجار) في ضوء القانون المذكور، ويشير إلى قانون المالكين والمستأجرين الأردني رقم 29 لسنة 1982، ولتوفر الفرصة والإمكانات فقد بادرنا إلى طبعها هادفين تحقيق الفائدة العلمية للطلبة الأعزاء في المملكة الأردنية الهاشمية. ولا يخفي على القارئ المهام الشاقة التي تقع على الباحث والمؤلف حين يلج لأول مرة، ميدان القانون المدني الأردني، فالكتب والبحوث التي تشرح هذا القانون قليلة في الأردن، ومع ذلك فالمهمة ليست شاقة حيث رجعنا إلى العديد من المؤلفات والشروحات في الفقه المدني المصري والعراقي والسوري، وغلى الأحكام القضائية في الأردن والعراق ومصر، لما في الدراسة المقارنة من فائدة أعم واشمل لا سيما أن القانون المدني الأردني رقم (43) لسنة 1976 أصبح مرجعاً أساسياً في إعداد (قانون المعاملات المالية) الذي أعد في جامعة الدول العربية (مجلس وزراء العدل العرب). لقد توزع جهدنا على شقين، قام الدكتور منذر الفضل بكتابة التمهيد، و(عقد البيع)، وتولى الدكتور صاحب الفتلاوي تأليف (عقد الإيجار) الذي خصصنا له الباب الثاني، وهي محاضرات قام بإلقائها على طلبة كلية القانون بجامعة بغداد ولذلك كانت خطة الكتاب على النحو الآتي: الباب الأول-عقد البيع، الباب الثاني-عقد الإيجار.
