يدور موضوع الكتاب حول عقد "الوكالة" وأهميته القانونية وما يترتب عليه من التزامات وقد شهد عقد الوكالة تطورات هامة كان لها أنعكاساتها المؤكدة على مجمل النظام القانوني الحاكم لهذا العقد. وهذا البحث هو محاولة لبيان أثر هذه التطورات على مضمون التزام الوكيل بتنفيذ الوكالة، باعتباره الإلتزام الأساسي المترتب على عقد الوكالة وفي فلكه تدور كافة الإلتزامات الأخرى.
ويبدأ الكتاب بمقدمة تلمس الباحث من خلالها لها ملامح التطور في عقد الوكالة وانعكاساتها على النظام القانوني للوكيل، مع التركيز على التزام الوكيل موضوع الدراسة. يلي ذلك فصلين: يعرض الفصل الأول لدور الموكل في تحديد مضمون التزام الوكيل في تنفيذ الوكالة، والفصل الثاني ويتعرض لبيان هذا المضمون أي مضمون التزام الوكيل في ضوء السلوك الواجب على الوكيل إتباعه في تنفيذ مهمته.
تبدو أهمية الدراسة من كون الوكالة أصبحت حاضرة في كثير من المجالات، وتمثل إطاراً قانونياً لتدخل العديد من الوسطاء وتعد أحد المكونان في العديد من العمليات القانونية المركبة، بل ومن خلالها يتم تحقيق أهداف بعض التشريعات.
ولأجل بيان حقيقة مضمون التزام الوكيل بتنفيذ مهمته اعتمد الباحث على هدى من كتابات الفقه والقضاء المقارن، وخاصة الفرنسي، بغية استيعاب النصوص القائمة المنظمة لعقد الوكالة وما لحق بها من تطورات، أو على الأقل مدى إمكان تطويعها لاستيعاب هذه التطورات.
