يشكل هذا الكتاب الجزء التاسع من موسوعة "الشركات التجارية"، وهو يتضمن بحث سندات الدين وحصص التأسيس في القانون المقارن.
تكمن أهمية هذا الكتاب في أنه، فضلاً عن الأبحاث التقليدية المتعلقة بموضوعه، فهو يتناول المستجدات التشريعية المتعلقة بسندات الدين بوجه عام، التي استحدثها التشريع العربي، ومنها ما يتعلق بسندات الخزينة في التشريع اللبناني، وبسندات الدين في قانون سوق المال المصري، وبالمؤسسة العربية للتقاص التي يشترك في تأسيسها اتحاد البورصات وهيئات أسواق المال العربية، وبشركة ميدكلير وهي شركة مغفلة لبنانية، من بين مهامها أنها تقوم بدور مصرف مركزي للأوراق المالية وتقدم خدماتها إلى وسطاء البورصة العربية.
وبغية الإحاطة بموضوع البحث فقد ارتأى تقسيمه إلى بابين، وكل باب إلى فصول وفقاً لما يأتي: الباب الأول: سندات الدين: الفصل الأول: مفهوم سندات الدين وخصائصها وأنواعها. الفصل الثاني: إصدار سندات الدين والتزامات أصحابها وحقوقهم. الفصل الثالث: هيئة أصحاب سندات الدين.
الباب الثاني: حصص التأسيس أو حصص الأرباح. الفصل الأول: إنشاء حصص التأسيس وحقوق حملتها وجمعية أصحاب الحصص، واسترجاع الحصص وتحويلها إلى أسهم وسندات دين. الفصل الثاني: حصص التأسيس في بعض التشريعات العربية.
اتخذ البحث، منحى التشريع المقارن. فجرت المقابلة بين التشريعات العربية ومنها: التشريع اللبناني والسوري والمصري، والأردني، والكويتي، والإماراتي، والسعودي والليبي والتونسي، كما تمت المقابلة بين هذه التشريعات والتشريعات الأجنبية ولا سيما التشريع الفرنسي. وذلك إغناء للبحث وتوسعاً للمدارك والآراء والأفكار ولم أتوان عن تحليل النصوص وتوجيه النقد إذا اقتضى الأمر ذلك.
وقد أعار الاجتهاد ما يستحقه من عناية، بالتنقيب على أحكام المحاكم الفرنسية والعربية قديمها وحديثها، وشرح مضامينها، والمقارنة بينها توصلاً إلى استخلاص الأوضاع الملائمة للبحث واستشرافاً للمستقبل.
