الأوراق التجارية صكوكٌ مكتوبة وفق أشكال حددها القانون تمثل حقاً موضوعه مبلغ من النقود يستحق الأداء بمجرد الاطلاع أو بعد أجل معين، وهي قابلة للتداول بالطرق التجارية، وقد استقر العرف على قبولها كأداة للوفاء بدلاً من النقود.
وتعتبر الأوراق التجارية-وخاصة الكبيالة والسند الإذني والشيك-من أهم نظم القانون التجاري لأنها تحقق السرعة التي تحتاجها التجارة في حوالة الحقوق مع تأمين المتعاملين بها من الدفوع التي تجيز قوانين المعاملات المدنية أن يوجهها المدين إلى المحيل-وذلك فضلاً عن الحماية الجنائية التي توفرها قوانين العقوبات للمتعاملين بالشيك.
ويتناول هذا الكتاب التعريف ببعض الأحكام العامة للمعاملات التجارية ثم الشرح والتعليق على النصوص الخاصة بالأوراق التجارية مسترشداً في ذلك بالمذكرة الإيضاحية مع عرض لآراء فقهاء القانون التجاري وبعض اجتهادات القضاء المقارن.
وقد استمد قانون المعاملات التجارية الاتحادي أحكامه من القوانين العربية المقارنة وخاصة قانون التجارة الكويتي ومن اتفاقيات جنيف للأوراق التجارية التي أصبحت نصوصها دستوراً تجري عليه جميع التشريعات الحديثة.
ولا شك أن صدور قانون المعاملات التجارية له أهمية كبرى في استكمال صرح البناء التشريعي في الدولة وفي استقرار المعاملات التجارية بها.
