لقد استعمل الإستعمار الإنجليزي كافة الوسائل الإقتصادية للسيطرة على منطقة الخليج العربي، ومن أهم هذه الوسائل السيطرة على التجارة التي ظلت الشركات الأجنبية تهيمن عليها عن طريق فروع لها في تلك المنطقة.
ولذلك تأخرت الحركة التشريعية المتعلقة بالنشاط التجاري في دولة الإمارات العربية المتحدة حتى النصف الثاني من القرن العشرين وبالذات عقب حصول الإمارات العربية المتحدة حتى النصف الثاني من القرن العشرين وبالذات عقب حصول الإمارات العربية المتحدة على إستقلالها وظهور فكرة الإتحاد الذي تمخض عنها دولة الإمارات العربية.
وكان لا بد من وجود التنظيمات القانونية لكافة أوجه الأنشطة الإقتصادية في دولة تريد أن تأخذ مكانتها الإقتصادية بين دول العالم بما تملكه من ثروات إقتصادية هائلة وبما تتمتع به من موقع جغرافي يتيح لها أن تصبح مركزاً تجارياً عالمياً.
ولذلك، كانت الأولوية التي عمد مسئولوا الدولة على تحقيقها هي وضع الأطر القانونية لهذه الأنشطة الإقتصادية وأبرزها النشاط التجاري.
ومن أهم الأنشطة التجارية التي حظيت بإهتمام السلطة التشريعية بدولة الإمارات العربية المتحدة هي الشركات التجارية حيث سارعت في وضع الإطار القانوني للشركات التجارية وذلك لتخليص الإقتصاد الوطني من سيطرة الشركات التجارية الأجنبية.
ولذلك صدر القانون (8) لسنة 1984 بشأن الشركات التجارية ثم توالي صدور القرارات الوزارية بشأن إجراءات قيد هذه الشركات في السجل التجاري.
وسوف نتناول دراسة الشركات التجارية في أربعة أبواب رئيسية:
-الباب الأول: النظرية العامة للشركات.
-الباب الثاني: شركات الأشخاص.
-الباب الثالث: شركات الأموال.
-الباب الرابع: الشركات ذات الطبيعة المختلطة.
