كشفت تجارب العديد من الدول عن فشل المؤسسات العامة المملوكة للدولة من تحقيق الأهداف المرجوة منها، وخاصتاً ما يرتبط منها بالتنمية الإقتصادية، وكان وراء ذلك العديد من الأسباب في مقدمتها مركزية القرارات الأساسية التي من شأنها أن تؤثر على سرعة إتخاذ القرارات، كما تفتح الباب أمام ممارسة الضغوط السياسية على متخذ القرار، ولكن لم تكن مركزية القرارات هي السبب الوحيد لفشل المنشآت الإقتصادية العامة، فهناك عامل عدم وجود معايير موضوعية لتقييم الأداء.
ويضاف إلى ذلك ضخامة حجم المؤسسات العامة وتنوع نشاطها وتغطيتها لمناطق جغرافية واسعة، وهكذا بدء التحول بالإبتعاد عن تفصيل القطاع العام والتركيز على القطاع الخاص، وبذلك كان التوجه إلى إتجاه الخصخصة، ويمكن إجمال أهم الأسباب لإتباع هذا الإتجاه:
-أداة فعالة لجذب الإستثمارات الأجنبية المباشرة.
-وسيلة للإصلاح الإقتصادي والإداري.
-تحسين وضع الموازنة العامة.
-يسهل انتقل المؤسسة العامة إلى مرحلة جديدة عناصرها الكفاءة وقوة المنافسة.
-توفير الأموال للحكومة للقيام بالمشاريع التنموية.
-تطويلاً أسواق رأس المال.
