رغم أن فقهاء القانون قد اتفقوا فيما بينهم على تعريف الوكالة من حيث موضوعها، إلا أنهم اختلفوا حول محلها أو وظيفتها ولم يحسوا الجدل حول ذلك حتى اليوم. ويمكن القول إن الوكالة من حيث موضوعها عقد تمثيلي. أو عي عقد بموجبه يخول شخص يسمى الموكل، شخصاً آخر، يسمى الوكيل القدرة على القيام بعمل أو أعمال قانونية.
والوكالة من حيث تصنيفها عقد يدخل في عداد العقود المسماة، وهي تلك التي شاع تداولها وأقرت تسمياتها الخاصة التي اشتهرت بها، كعقد البيع وعقد الهبة وعقد الشركة، وعقد الإجارة، وعقد الوكالة وغيرها وكان فقهاء القانون في السابق يميزون بين العقود المسماة والعقود غير المسماة" أما في ظل التشريعان الحديثة، فلم يعد هناك من فرق بين العقود المسماة والعقود غير المسماة، غير أن النوع الأول استدعى تنظيمه من قبل المشرع تسهيلاً للفرقاء للإحاطة بالموجبات التي يفرضها هذا النوع من العقود.
والوكالة بما هي عقد تتكون كسائر العقود من عناصر أساسية نص عليها المشترع اللبناني في قانون الموجبات والعقود والمؤلف يقدم في هذا الكتاب دراسة لأحكامها التي تنظمها المواد من 769 إلى 822 من قانون الموجبات والعقود. وقد استعرض المؤلف كل الآراء والنظريات، كما عرج على الكثير من الاجتهادات الخاصة بالموضوع.
