إذا نظرنا إلى المصارف فإننا نلاحظ وضعها الخاص، حيث تقوم بتقديم التمويل للمشروعات التجارية، كما تقوم الخدمات المالية الرئيسية لقطاع عريض من الناس وبالتالي في قلب نظام المدفوعات، في أي بلد. ذلك بالإضافة إلى أن بعض البنوك تقوم بأدوار هامة في الأوقات الصعبة، حيث تتيح الائتمان والسيولة للمجتمع، وعليه، فإن أهمية البنوك لاقتصاديات الدول تتلخص في حقيقة أن المصارف من المفترض أن تكون صناعة خاصة للتنظيم على المستوى الدولي وأن لها الحق في الدخول إلى شبكة الأمان الحكومية. ومن ثمّ فإنه في غاية الأهمية أن يكون لدى المصارف حكم مؤسسي قوي. هذا وإن الحكم المؤسساتي في أي مصرف يمكن تحسينه من خلال التعامل مع عدد من القضايا القانونية، مثل حماية حقوق المساهمين، زيادة قوة العقود بما فيها الجهات المقدمة للخدمات، توضيح أدوار الحكم، التأكد من أن الشركة تعمل في بيئة متحررة من الفساد والرشوة، القوانين/ التشريعات وغيرها من الإجراءات/ تحديد مصالح المدراء والموظفين والمساهمين. كل هذه النواحي تساعد في تعزيز العمل الصحي والبيئة القانونية التي تدعمّ الحكم المؤسساتي السليم والمبادرات الإشرافية ذات الصلة. من هذا المنطلق كان هذا الكتاب حول الحكم المؤسساتي السليم في المصارف والمؤسسات المالية تحت تصرف المجتمع المصرفي والمالي العربي، والهدف أن يجد فيه رجال المصارف والمال والاقتصاد العرب كل الفائدة من خلال تعرفهم على مفاهيم ومبادئ ومتطلبات الحكم السليم في المؤسسات، والهدف أيضاً أن يغني الكتاب المكتبة المصرفية والمالية العربية وهذا أمر ضروري وحيوي بالنسبة لاتحاد المصارف العربية.
